Acceptance#
Plain English: if you use MiTax, you agree to these terms.
These Terms of Service form a legally binding agreement between you and MiTax Limited, a company incorporated in the Federal Republic of Nigeria and a subsidiary of MiTax, trading as MiTax. By creating an account, downloading the app, or otherwise accessing any MiTax service, you confirm that you have read, understood, and accept these terms.
If you do not agree with any part of these terms, you must stop using MiTax. Continued use after a published change means you accept the change.
If you accept these terms on behalf of a company, a partnership, a registered business, or any other organisation, you confirm that you are authorised to bind that entity. The entity is then jointly responsible for compliance with these terms alongside you personally.
You must be at least sixteen years old to create a personal MiTax account. Business and corporate accounts require the signatory to be a legal adult under Nigerian law.
Your account#
Plain English: keep your details accurate, your password safe, and tell us if something looks wrong.
You agree to provide information that is accurate, current, and complete when you sign up, and to keep that information up to date. This includes your full legal name, your date of birth, your Nigerian phone number, and your Tax Identification Number where applicable.
To comply with Nigerian Know Your Customer regulations and the Money Laundering Prevention and Prohibition Act, MiTax may require verification of your National Identification Number, your Bank Verification Number, or supporting documents such as utility bills or company registration certificates. Failure to provide verification when requested can suspend filing and payment features.
You are responsible for safeguarding your password, your one-time codes, and any device on which MiTax is signed in. You must enable multi-factor authentication where offered and notify support immediately if you suspect unauthorised access.
You are responsible for all activity that occurs under your account. We may, but are not obliged to, refuse, suspend, or terminate accounts that show signs of fraud, identity theft, or material breach of these terms.
Services#
Plain English: MiTax calculates, files, and pays Nigerian taxes for you. The Nigeria Revenue Service is the final authority on your tax position.
MiTax provides software that calculates tax obligations under the Nigeria Tax Act 2025, prepares filings compatible with Rev360 and State Internal Revenue Service templates, transmits those filings to the relevant authority, and routes payments through licensed Payment Service Providers to government accounts.
MiTax also offers ancillary services including a financial record vault, invoicing with automatic Value Added Tax handling, a tax calendar, a compliance score, Tax Clearance Certificate requests, an advisor marketplace, and analytics for crypto transactions, rental income, and cross-border income.
MiTax is a software platform. It is not a law firm, a registered tax consultancy, or a regulated financial adviser. Calculations and filings reflect our reasonable interpretation of the applicable law. Where the Nigeria Revenue Service or a State Internal Revenue Service issues a contrary assessment, that assessment controls, and you should consult a licensed advisor.
We may add, remove, or change features. Where a change materially reduces a feature you currently rely on, we will provide reasonable advance notice through email or in-app notification.
Fees#
Plain English: a subscription if you pick a paid plan, plus 1 percent on each tax payment, with a 500 naira floor and a 250,000 naira ceiling.
MiTax charges three types of fees. First, subscription fees for paid plans as published on the pricing page. Subscriptions are billed monthly or annually in advance and are non-refundable for completed billing periods, except that we will refund the unused portion of a current month on request when you cancel.
Second, a transaction fee of one percent of the gross tax amount processed through MiTax, subject to a minimum of five hundred Nigerian naira and a maximum of two hundred and fifty thousand Nigerian naira per transaction. This fee is shown to you before you confirm payment.
Third, commission or referral fees on Tax Clearance Certificate processing, advisor bookings, and similar ancillary services. The commission is disclosed before the service is engaged.
All fees are exclusive of any applicable Value Added Tax, which will be added at the prevailing rate. We may change fees with at least thirty days advance notice. Continued use after a fee change means you accept the new fee schedule.
Payment#
Plain English: Paystack and Flutterwave move the money. MiTax never holds it.
Payments are processed by licensed Nigerian Payment Service Providers, currently Paystack and Flutterwave. By making a payment through MiTax you also agree to the terms of the relevant Payment Service Provider.
For tax payments, MiTax instructs the Payment Service Provider to debit your nominated bank account or card and credit the relevant government account directly. Funds do not pass through any MiTax bank account.
For subscription fees, the Payment Service Provider debits your nominated method and credits the MiTax Limited operating account. Subscription receipts are issued in-app and by email.
Payments may fail because of insufficient funds, card limits, bank downtime, or other issues outside our control. Where a payment fails, the underlying tax obligation remains your responsibility, and any government interest or penalty for late payment is yours to bear.
Money handling#
Plain English: MiTax does not hold customer money. The flow is you, then PSP, then government.
This is a foundational principle of how MiTax operates. We do not hold customer funds, we do not maintain a customer settlement account, and we do not act as a bank, an Electronic Money Institution, or a Microfinance Bank.
Every tax payment moves directly from your bank or card to the government account through the Payment Service Provider rail. MiTax merely instructs and confirms the flow.
This design means that even in the extreme event of a MiTax service outage, your money is never at risk inside our systems. It also means we cannot reverse a government payment once it has settled, because we never controlled it. Refund requests for government payments must be addressed to the relevant tax authority.
Intellectual property#
Plain English: we own the code and the brand. You own your data.
All right, title, and interest in the MiTax software, the source code, the user interface designs, the trademarks, the documentation, and any improvements derived from aggregated usage data belong to MiTax Limited and its licensors.
You retain ownership of the financial data, the transaction records, the documents, and the personal information that you upload or generate within MiTax. You grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display that data solely to provide the service to you and to comply with applicable law.
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of any part of MiTax, except as expressly permitted by law that cannot be contractually overridden.
The MiTax name, the MiTax wordmark, and the Mountain Meadow dot are trademarks of MiTax Limited. You may not use them in any way that suggests endorsement, partnership, or affiliation without our written permission.
Privacy#
Plain English: how we handle data lives in two other documents.
Our handling of personal data is governed by the MiTax Privacy Policy, available at mitax.ng/privacy, and by our Nigeria Data Protection Act Compliance Statement, available at mitax.ng/ndpa. Both documents are incorporated by reference into these Terms.
By using MiTax you consent to the collection, processing, and disclosure of personal data as described in those documents.
Acceptable use#
Plain English: no fraud, no impersonation, no abuse of the platform.
You agree not to use MiTax to commit tax evasion, money laundering, terrorism financing, identity theft, or any other unlawful activity under Nigerian or applicable international law.
You agree not to impersonate another natural person or legal entity, falsify your Tax Identification Number, submit fraudulent supporting documents, or otherwise mislead the Nigeria Revenue Service or a State Internal Revenue Service through MiTax.
You agree not to interfere with the operation of the service, including denial of service attacks, automated scraping at volumes that degrade performance for other users, probing of authentication endpoints, or attempts to bypass rate limits and security controls.
You agree not to upload malware, viruses, or any code intended to harm MiTax or its users.
We reserve the right to suspend or terminate accounts that breach acceptable use, and to report suspected criminal activity to Nigerian law enforcement and the Nigeria Financial Intelligence Unit.
Termination#
Plain English: either of us can end this. Your tax records still belong to you, and we keep them as long as the law requires.
You may cancel your subscription at any time from your account settings or by emailing support@mitax.ng. Cancellation stops future billing. You retain access to historical filings until the end of the current billing period.
We may suspend or terminate your account if you breach these terms, if your payment method fails repeatedly, if continued service would expose us to legal or regulatory risk, or for any other reason on thirty days written notice.
On termination, you can export your filings and supporting documents from the data vault for ninety days. After that, your data enters archival storage for the retention period required by Nigerian tax law, currently seven years from the relevant tax year. We delete the data permanently once the retention period expires, unless a longer hold is mandated by a court or regulator.
Indemnity#
Plain English: if you misuse MiTax and that causes us a loss, you cover it.
You agree to indemnify, defend, and hold harmless MiTax Limited, its directors, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or related to your breach of these terms, your unlawful use of the service, your submission of inaccurate or fraudulent information, or your infringement of any third party right.
This indemnity survives termination of your account and applies to claims brought during or after your use of MiTax.
Disclaimer#
Plain English: we work hard to be right, but we cannot warrant tax outcomes.
MiTax is provided on an as is and as available basis. To the maximum extent permitted by Nigerian law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the service will be uninterrupted, that calculations will be free of errors, that filings will be accepted on first submission, or that the Nigeria Revenue Service or State Internal Revenue Service will issue refunds or clearances within any particular timeframe.
Tax laws change. We endeavour to keep MiTax aligned with current law, but you remain responsible for verifying the accuracy of your filings before you authorise submission.
Limitation of liability#
Plain English: our total liability to you is capped at the fees you paid us in the last twelve months.
To the maximum extent permitted by law, the total aggregate liability of MiTax Limited to you for any and all claims arising out of or related to MiTax, whether in contract, tort, statute, or otherwise, is limited to the total fees you paid to MiTax in the twelve months immediately preceding the event giving rise to the claim.
In no event will we be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, even if we have been advised of the possibility of such damages.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under Nigerian law.
Governing law#
Plain English: Nigerian law. Lagos State courts.
These terms and any dispute arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
Any dispute that cannot be resolved through good faith negotiation within thirty days will be submitted to the exclusive jurisdiction of the High Court of Lagos State, sitting in Ikeja. The parties agree to attend mandatory mediation under the Lagos Multi-Door Courthouse rules before formal proceedings are commenced.
Changes#
Plain English: we will tell you when these terms change. Carry on using MiTax and you have accepted the change.
We may update these terms from time to time to reflect changes in the service, in applicable law, or in our business. When we make a material change, we will give at least fourteen days notice by email and by in-app banner before the change takes effect.
For non-material changes, such as clarifications or corrections, the updated terms take effect on the date shown at the top of this page.
Continued use of MiTax after the effective date of any change means you accept the updated terms. If you do not agree, you may cancel your account before the effective date.
